Equipment Availability Disclaimer

All equipment, products, and services described or depicted on this Website, in marketing materials, in proposals, or in verbal communications are subject to availability at the time of your request. Availability is not guaranteed. Equipment inventory fluctuates based on current rental demand, scheduled maintenance, deployment commitments, transit time, weather events, natural disasters, supply chain disruptions, force majeure conditions, and other factors beyond Sky Equip's reasonable control.

Sky Equip maintains a nationwide fleet and actively manages inventory across regional staging facilities; however, specific equipment models, quantities, configurations, or accessories listed on this Website may not be immediately available in all geographic areas or at all times. In the event that requested equipment is unavailable, Sky Equip will make commercially reasonable efforts to identify equivalent substitute equipment, source the requested equipment from the nearest available staging location, provide an estimated availability date, and communicate transparently with the customer regarding any limitations.

Confirmed availability is established only upon execution of a written rental agreement or purchase order accepted by Sky Equip.

§2

No Guarantee of Inventory at Any Particular Location

Sky Equip does not guarantee that any specific equipment, generators, trailers, HVAC systems, temporary infrastructure systems, environmental control systems, vehicles, workforce sustainment assets, communications systems, or operational resources are physically located, staged, stocked, warehoused, maintained, available, deployable, or operational from any specific office, yard, warehouse, deployment center, operational region, or geographic market at any given time.

Equipment inventory and operational resources may be rotated between regions, mobilized for active projects, temporarily unavailable, committed to existing clients, under maintenance, vendor supplied, subcontracted, in transit, awaiting delivery, allocated for emergency response, positioned strategically at temporary locations, located at third-party facilities, or utilized for active deployments.

Inventory photographs, fleet depictions, warehouse scenes, operational imagery, staged deployment visuals, and marketing materials are representative examples only and shall not be interpreted as representations of real-time inventory levels, fleet counts, operational readiness, deployment capability, or geographic availability.

Service Area & Geographic Coverage Disclaimer

Sky Equip is actively expanding its service network across the United States in a phased manner based on demand, client requirements, and available resources. While Sky Equip strives to serve customers in all 50 states, the availability of local or regional staging facilities, on-site support personnel, and rapid-response deployment capabilities varies by geographic location and is subject to change.

References to "nationwide coverage," "all 50 states," or similar language reflect Sky Equip's operational intent and current deployment capabilities. Such references do not guarantee the presence of a local staging facility in your area, same-day or next-day delivery to all locations, identical pricing or response times in all areas, or availability of all equipment types in all regions at all times.

Phased Expansion Notice: Sky Equip is opening new regional locations and staging facilities across the country on a phased basis, prioritized by client demand, project concentration, and operational readiness. Actual response and deployment times depend on geographic distance from the nearest staging facility, current equipment inventory levels, concurrent demand from other customers or emergency events, weather conditions, road closures, natural disasters, force majeure events, customer readiness, site access, permitting requirements, time of day, day of week, holiday schedules, and logistics carrier availability.

SLA response time commitments are not legally binding unless expressly stated in a fully executed written National Account Agreement or Master Service Agreement signed by an authorized representative of Sky Equip. In the absence of such a written agreement, all response time references are good-faith estimates only.

No Joint Venture, Agency or Partnership

Sky Equip does not warrant, certify, guarantee, or represent that any equipment, deployment, installation, temporary utility arrangement, environmental condition, temporary infrastructure system, infection control arrangement, pressure relationship, containment system, operational setup, workflow arrangement, or temporary facility independently satisfies all federal regulations, state regulations, local regulations, OSHA requirements, healthcare requirements, engineering requirements, building codes, fire codes, AHJ requirements, environmental regulations, healthcare accreditation standards, utility requirements, or infection control standards unless expressly agreed in writing.

Final responsibility for compliance remains solely with the project owner, controlling contractor, licensed design professionals, licensed trade contractors, engineers of record, facility operators, healthcare compliance personnel, safety managers, and responsible regulatory entities.

Mission-Critical Facility & Data Center Disclaimer

Sky Equip does not guarantee continuous operations, redundant systems, uptime, business continuity, data preservation, server protection, product preservation, environmental continuity, cooling continuity, power continuity, utility continuity, pressure relationships, environmental containment, operational continuity, facility uptime, or emergency response timing for hospitals, healthcare facilities, data centers, pharmaceutical facilities, laboratories, critical infrastructure, industrial facilities, controlled environments, or mission-critical operations.

Temporary utility systems, generators, HVAC systems, cooling systems, environmental control systems, dehumidification systems, filtration systems, and temporary infrastructure systems remain subject to mechanical limitations, utility conditions, fuel quality, operational conditions, weather conditions, installation conditions, existing infrastructure limitations, human error, monitoring limitations, external utility interruptions, site conditions, equipment failures, vendor limitations, and transportation delays.

Indemnification

To the fullest extent permitted by applicable law, Client agrees to defend, indemnify, and hold harmless Sky Equip, its affiliates, members, managers, officers, employees, agents, vendors, strategic partners, subcontractors, transportation providers, staffing providers, insurers, equipment providers, financing entities, successors, and assigns from and against any and all claims, demands, actions, causes of action, liabilities, damages, losses, penalties, regulatory actions, fines, costs, expenses, attorneys' fees, expert fees, investigation costs, cleanup costs, and environmental response costs arising out of or relating to Client operations, site conditions, equipment use, misuse of equipment, improper operation, unsafe conditions, fuel contamination, utility failures, environmental contamination, mold exposure, biological contamination, hazardous material exposure, asbestos exposure, wastewater exposure, infection spread allegations, healthcare operational impacts, regulatory violations, property damage, personal injury, death, business interruption, cybersecurity incidents caused by Client systems, unauthorized modifications, transportation incidents, third-party actions, subcontractor actions, labor actions, failure to maintain site safety, failure to comply with regulations, improper installation by others, unauthorized access, Client negligence, or Client misconduct — except to the extent directly caused by the gross negligence or willful misconduct of Sky Equip.

These indemnification obligations shall survive contract completion, equipment return, demobilization, project completion, service termination, and contract expiration.

§18

Limitation of Liability

To the maximum extent permitted by applicable law:

Sky Equip shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to equipment unavailability, delayed delivery, service interruptions, or any other matter related to the information presented on this Website or in marketing materials. Sky Equip's total liability for any claim arising out of or related to the use of this Website or reliance on information contained herein shall not exceed the amount paid by the customer to Sky Equip in the three (3) months preceding the claim, or $500, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, Sky Equip's liability is limited to the fullest extent permitted by law.

Entire Agreement & Non-Reliance

Unless expressly stated otherwise within a fully executed written agreement signed by authorized representatives of Sky Equip, these Terms, together with any executed rental agreement, proposal, work authorization, or master service agreement, constitute the entire agreement between the parties concerning the subject matter addressed herein.

Client acknowledges that it has not relied upon marketing materials, Website content, fleet depictions, social media content, renderings, informational discussions, verbal statements, preliminary proposals, sales discussions, operational examples, response scenarios, AI-generated imagery, promotional statements, future growth statements, expansion discussions, or informational communications as guarantees, warranties, binding commitments, or contractual obligations. Any modifications, waivers, amendments, or changes to these Terms must be made in writing and signed by authorized representatives of Sky Equip.

§20

Governing Law & Dispute Resolution

These disclaimers and any disputes arising from your use of this Website or engagement with Sky Equip's services shall be governed by and construed in accordance with the laws of the United States and the state in which Sky Equip's principal place of business is located, without regard to conflict of law principles. Any dispute not resolved through good-faith negotiation shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association, unless prohibited by applicable law.
